These Terms of Service (“Terms”) are a binding agreement between you and Zivo CRM (“Zivo CRM”, “we”, “us” or “our”) and govern your access to and use of our website, web application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation.
You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
2. The Service
Zivo CRM is an AI-powered CRM that helps businesses capture leads, manage contacts and deals, communicate with customers across channels, and automate sales workflows. We may add, change or remove features over time to improve the Service.
3. Plans, trials & billing
- Plans: Paid features are offered under the plan you select. Fees, inclusions and limits are described at the time of purchase.
- Free trial: If a free trial is offered, you may use the Service during the trial period without a card unless stated otherwise. We may modify or discontinue trials at any time.
- Billing & renewals: Subscriptions renew automatically for the same term unless cancelled before the renewal date. You authorise us and our payment partners to charge your selected payment method for applicable fees and taxes (including GST where applicable).
- Changes & refunds: We may change prices on prospective renewal with reasonable notice. Except where required by law, fees are non-refundable. You can cancel at any time, effective at the end of the current billing period.
4. Acceptable use
You agree not to, and not to permit others to:
- Use the Service to violate any law or the rights of others, including data-protection, anti-spam and telemarketing rules.
- Send unlawful, deceptive, infringing, harassing or harmful content.
- Upload malware or attempt to gain unauthorised access to the Service or its systems.
- Probe, scan, overload, or disrupt the Service, or circumvent usage limits or security.
- Reverse engineer, resell or sublicense the Service except as expressly permitted.
- Use the Service to build a competing product.
5. Messaging & communications
When you use Zivo CRM to send WhatsApp, SMS, email or calls, you are responsible for obtaining all necessary consents from recipients and for complying with applicable rules and the policies of the underlying providers (including Meta/WhatsApp, TRAI/DLT registration for SMS, and email anti-spam laws). You must honour opt-out and do-not-disturb requests. We may suspend messaging features if we reasonably believe they are being misused.
6. Your data
You retain all rights to the data you and your users submit to the Service (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the Customer Data you collect and for having a lawful basis to process it. Our handling of personal data is governed by the Privacy Policy, which forms part of these Terms.
7. Third-party services
The Service integrates with third-party platforms (such as Meta, Google, JustDial, MSG91, Exotel, Resend and Anthropic). Your use of those services is subject to their own terms and policies, and we are not responsible for third-party services. Connecting or disconnecting an integration is your choice.
8. AI features
The Service includes AI features that generate summaries, suggestions and drafts. AI output may be inaccurate or incomplete and is provided to assist you, not to replace your judgment. You are responsible for reviewing AI output before relying on or acting on it. You must not use AI features to generate unlawful, misleading or harmful content.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by Zivo CRM and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. We may use aggregated, de-identified data that does not identify you or any individual to operate and improve the Service. If you provide feedback, you grant us a perpetual, royalty-free licence to use it.
10. Confidentiality
Each party may access non-public information of the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it only as needed to perform under these Terms, except where disclosure is required by law.
11. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Service in a way that may cause harm or legal risk. On termination, your right to use the Service ends and we may delete Customer Data after a reasonable period, subject to our retention practices and legal obligations. You may request an export of your Customer Data before deletion where feasible.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure, or that messages sent via third-party channels will always be delivered.
13. Limitation of liability
To the maximum extent permitted by law, Zivo CRM will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold Zivo CRM harmless from claims, damages and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your communications with recipients, or your breach of these Terms or applicable law.
15. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at our registered place of business in India will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
16. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
